Florality, including its brand, logo, design, source code, documentation, and all related materials, is the property of Florality Ltd or its licensors. All rights are reserved.
You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of Florality or any part of the service, except as expressly permitted by applicable law (such as decompilation rights under the EU Software Directive).
Open Source
Certain components of Florality may incorporate open-source software. Such components are governed by their respective open-source licences, which take precedence over these Terms to the extent of any conflict.
6. User Content and Licence#
Ownership
You retain full ownership of all content you create, upload, or import into Florality ("User Content"). We do not claim any ownership rights over your content.
We do not use your content to train, fine-tune, or feed any AI or machine learning model.
Licence Grant
By using Florality, you grant Florality Ltd a limited, non-exclusive, worldwide, royalty-free licence to store, display, back up, migrate, and process your User Content solely for the purpose of providing and operating the service. This licence exists only for as long as your content remains on the platform and terminates when your content is deleted.
Your Warranties
You represent and warrant that:
- You have the necessary rights to post, upload, or import all User Content.
- Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
- You have the right to import data from any third-party service you connect to Florality.
Feedback
Any feedback, suggestions, ideas, or feature requests you voluntarily submit to us become the property of Florality Ltd. We may use, implement, modify, or incorporate such feedback without attribution, compensation, or obligation to you.
7. Social Features#
This section applies when social features (messaging, friends/connections) are available.
Messaging
- Messaging is provided for lawful and respectful communication between users.
- We may set rate limits or other technical restrictions on messaging to prevent abuse.
- We may moderate or remove message content that violates these Terms or applicable law.
- We are not responsible for the content of messages sent between users, but we reserve the right to act on reports of abuse, harassment, or illegal content.
Friends and Connections
- Friend and connection features are entirely voluntary. No user is obligated to accept any connection request.
- Harassment, stalking, and impersonation through connection features are strictly prohibited.
- We may limit, modify, or remove friend and connection features at any time.
No Guarantees
We do not guarantee the availability, delivery, timeliness, or compatibility of social features. Social features may be modified, interrupted, or discontinued at any time.
8. Privacy and Data#
Your use of Florality is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data.
By using Florality, you agree to the data processing practices described in the Privacy Policy, including the processing of any data that may be considered special category or sensitive data (as described in Section 4 of the Privacy Policy).
9. Paid Terms#
Subscriptions
- Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.
- Subscriptions are charged at the start of each billing period (monthly or annual, as selected) and renew automatically until cancelled.
- You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.
Refund Policy
- No refunds are provided except where required by applicable law, including the UK Consumer Rights Act 2015 and EU consumer protection regulations.
- Where you are entitled to a statutory refund, contact [email protected].
14-Day Cooling-Off Period
Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (Regulation 37) and the EU Consumer Rights Directive (Article 16(m)), you have a 14-day right to cancel an online purchase. By completing your purchase and accessing the digital service, you consent to immediate access and acknowledge that this waives your cooling-off right once the digital content or service has been provided.
After Cancellation or Expiry
- Access to premium features ends at the conclusion of your billing period.
- Your data is retained in accordance with the retention schedule described in our Privacy Policy.
- You may export your data before cancellation (export functionality is coming soon; contact [email protected] for manual export in the meantime).
Lifetime Purchases
Lifetime purchases provide access to the purchased features for the life of the service — that is, for as long as Florality continues to operate. If the service is permanently discontinued, we will provide reasonable notice and, where feasible, data export options.
Donations
Donations are voluntary and non-refundable. Donations do not entitle you to any additional features, services, or preferential treatment.
10. Third-Party Links and Services#
Florality may contain links to third-party websites or integrate with third-party services (such as Simply Plural, PluralKit, and Octocon for data import).
- We are not responsible for the content, privacy practices, availability, or security of third-party services.
- Your use of third-party services is subject to their own terms and privacy policies.
- We do not endorse or make any representations about third-party services.
11. Copyright and Intellectual Property Claims#
We respect the intellectual property rights of others. If you believe that content on Florality infringes your copyright or other intellectual property rights:
- Report it by emailing [email protected] with: (a) a description of the copyrighted work, (b) the location of the allegedly infringing content, (c) your contact information, and (d) a statement that you have a good-faith belief that the use is not authorised.
- We will investigate all reports and may remove or disable access to content that we determine to be infringing.
- Repeat infringers may have their accounts suspended or terminated.
This process applies globally and is consistent with the principles of the US Digital Millennium Copyright Act (DMCA), the UK Copyright, Designs and Patents Act 1988, and equivalent legislation in other jurisdictions.
12. Disclaimers and Limitation of Liability#
"As Is" / "As Available"
Florality is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Florality Ltd disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, secure, or free of harmful components.
No Professional Advice
Florality does not provide medical, legal, therapeutic, psychological, or any other form of professional advice. You use the service at your own risk and are solely responsible for your own decisions. If you require professional advice, consult a qualified professional.
Backup Responsibility
You are responsible for backing up your important data. While we implement backups as part of our infrastructure, we do not guarantee the recoverability of any specific data.
Limitation of Liability
To the maximum extent permitted by applicable law, Florality Ltd's total aggregate liability to you for all claims arising from or related to these Terms or your use of the service is limited to the amount you have paid to Florality Ltd in the 12 months preceding the claim.
Florality Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of goodwill, regardless of whether we were advised of the possibility of such damages.
Statutory Rights Preserved
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under applicable law, including the UK Consumer Rights Act 2015 and the Unfair Contract Terms Act 1977
If you are a consumer in the UK or EU, you retain all mandatory statutory rights that cannot be waived by contract.
13. Indemnification#
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Florality Ltd, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the service or any activity under your account
- User Content you create, upload, import, or share
- Your breach of these Terms or any applicable law
- Your violation of any third party's rights, including intellectual property or privacy rights
This indemnification obligation does not apply where prohibited by law (including for consumers in the UK and EU where statutory protections apply).
14. Termination#
Termination by Us
We may suspend or terminate your account and access to Florality:
- Immediately and without notice for serious violations, including illegal activity, abuse, or conduct that threatens the safety or security of other users or the service.
- With reasonable notice for other breaches of these Terms or at our discretion (for example, if we discontinue the service).
Termination by You
You may close your account at any time. To request deletion of your data, follow the process described in our Privacy Policy or contact [email protected].
Effect of Termination
Upon termination:
- Your access to the service ends immediately (or at the end of your billing period, if applicable).
- Your data will be retained only as required for legal and compliance purposes, in accordance with our Privacy Policy retention schedule, and then deleted.
- We may retain anonymised and aggregated data that cannot identify you.
Survival
The following sections survive termination of these Terms: Intellectual Property (Section 5), User Content and Licence (Section 6 — to the extent content remains), Disclaimers and Limitation of Liability (Section 12), Indemnification (Section 13), Disputes and Governing Law (Section 15), and General (Section 17).
15. Disputes and Governing Law#
Informal Resolution
Before initiating any formal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Jurisdiction
Subject to the consumer rights exceptions below, the courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or your use of the service.
Consumer Rights
Nothing in this section prevents you from bringing claims in the courts of your country of residence where required by applicable consumer protection law. If you are a consumer in the EU, you retain the right to bring proceedings in your local courts.
Class-Action Waiver (US Users)
To the maximum extent permitted by applicable law, you agree that any disputes will be resolved on an individual basis and that you waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding. This waiver does not apply where prohibited by law.
16. Changes to These Terms#
We may update these Terms from time to time. When we make changes:
- We will notify you via in-app notification, email, our changelog, and our social media channels.
- For material changes, we will provide at least 30 days' notice before the changes take effect.
- The updated effective date will be displayed at the top of this page.
Your continued use of Florality after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may stop using the service and close your account.
17. General Provisions#
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Florality Ltd regarding your use of Florality. They supersede all prior agreements, communications, and understandings, whether written or oral.
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by Florality Ltd.
Assignment
Florality Ltd may assign or transfer these Terms (or any rights or obligations under them) to a third party in connection with a merger, acquisition, sale, reorganisation, or similar transaction, without your consent. You may not assign or transfer your rights or obligations under these Terms.
